01 Acceptance of terms
These Terms of Use ("Terms") form a binding agreement between you and AeroEstate Realty Corp ("AeroEstate," "we," "us") governing your access to and use of our website and dashboards for agents, brokers, and sellers (collectively, the "Platform").
By creating an account, browsing listings, or otherwise using the Platform, you agree to these Terms. If you don't agree with them, please don't use the Platform. If you're using the Platform on behalf of a brokerage or company, you're confirming you have the authority to bind that organization to these Terms.
02 Eligibility & accounts
The Platform serves several types of users, each with different responsibilities:
- Buyers & sellers — must be at least 18 years old and legally able to enter into a real estate transaction.
- Agents — must hold a valid PRC accreditation as a real estate salesperson and operate under a supervising broker, consistent with the Real Estate Service Act (RA 9646).
- Brokers — must hold a valid, current PRC broker's license (REB) and remain in good standing with the Board.
- Developers — must be a duly licensed and accredited real estate development company.
You're responsible for keeping your login credentials confidential and for all activity that happens under your account. Let us know immediately if you suspect unauthorized access. You agree to provide accurate, current information when registering, and to keep it updated — including your RES/REB code, contact details, and accreditation status.
03 Description of services
The Platform lets sellers list properties for sale, buyers browse and inquire about listings, agents register client transactions and communicate with buyers, brokers manage their team's sales and commission payouts, and developers manage project inventory. Specific features include:
- Property listing creation, editing, and media management, subject to review and approval;
- Client Registration Forms (CRF) for recording a sale and its commission structure;
- Commission voucher encoding, tracking, and release status;
- In-Platform messaging, email, and Messenger integration between agents, brokers, sellers, and buyers;
- Support ticketing for corrections and account issues.
We may add, change, or discontinue features at any time. We'll try to give reasonable notice of changes that materially reduce functionality you rely on, but we don't guarantee advance notice in every case.
04 Acceptable use
When using the Platform, you agree that you will not:
- Post a listing you don't have the legal right or authority to sell or represent;
- Provide false, misleading, or materially incomplete information about a property, a client, or yourself;
- Misrepresent your professional accreditation, license status, or authority to act as an agent or broker;
- Use the Platform's messaging tools to send unsolicited commercial messages (spam), harass another user, or misrepresent your identity;
- Attempt to circumvent commission arrangements disclosed through the Platform, or induce another user to transact outside the Platform specifically to avoid agreed-upon fees;
- Upload malicious code, scrape or harvest data at scale, or attempt to gain unauthorized access to another user's account or data; or
- Use the Platform in any way that violates applicable Philippine law, including real estate, consumer protection, and data privacy regulations.
We may investigate suspected violations and take action ranging from a warning to account suspension or termination, depending on severity.
05 Listings & content
Accuracy
Sellers, agents, and developers are responsible for the accuracy of the listings, photos, videos, and property details they submit — including price, floor and lot area, financing scheme, and unit availability. AeroEstate does not independently verify every listing detail before publication.
Approval & removal
New listings and media updates go through an approval step before appearing publicly. We may decline, suspend, or remove a listing at our discretion — for example, if it appears inaccurate, duplicated, or in violation of these Terms — with notice to the submitting user where practical.
Your content, our license to use it
You retain ownership of the photos, videos, descriptions, and other content you upload. By submitting content, you grant AeroEstate a non-exclusive, royalty-free, worldwide license to host, display, reproduce, and distribute it for the purpose of operating and promoting the Platform, for as long as the related listing remains active (and as reasonably needed afterward for records).
06 Fees & payments
Posting a property listing is free for the first two (2) weeks. After that period, keeping a listing active requires a paid subscription, billed monthly or yearly as selected at checkout.
- You may cancel a paid subscription at any time; cancellation stops future billing but does not refund amounts already paid.
- All payments are non-refundable, except where required by law.
- We may change our fees with reasonable advance notice; continuing to use a paid feature after a fee change takes effect means you accept the new fee.
07 Commissions & vouchers
Where a transaction is registered through a Client Registration Form, the commission rate distribution entered (broker, sales manager, sales associate, recruiter, referral, tripping assist, and documentation shares) reflects the split agreed among those parties for that specific sale. AeroEstate facilitates the recording and tracking of this split but is not a party to, and does not arbitrate, private commission-sharing agreements between agents and brokers.
Commission vouchers reflect amounts we've been informed are receivable from the relevant developer, less any disclosed cash advance or deduction. Voucher status (Pending, Approved, Released, On-Hold, or Canceled) is updated as we receive that information — it does not itself guarantee payment, which ultimately depends on the underlying developer's disbursement.
08 Intellectual property
The Platform's design, code, logos, and branding are owned by AeroEstate Realty Corp or our licensors and are protected by intellectual property law. Except for the license you grant us over your own content (see Section 5), nothing in these Terms transfers any AeroEstate intellectual property to you. You may not copy, modify, or create derivative works of the Platform itself without our written permission.
09 Third-party services
The Platform integrates with third-party services, including Google (for sign-in) and Meta Business Suite (for brokers running ad campaigns). Your use of those services is also governed by their own terms and privacy policies. We aren't responsible for the availability, accuracy, or practices of third-party services we don't operate.
10 Disclaimers
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We don't guarantee that any listing is accurate, that any agent or broker's accreditation is current, that a transaction will close, or that the Platform will be uninterrupted or error-free. Real estate transactions carry inherent risk, and you're encouraged to conduct your own due diligence — including verifying titles, permits, and the accreditation of any professional you work with — independently of what's shown on the Platform.
11 Limitation of liability
To the fullest extent permitted by law, AeroEstate Realty Corp will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including lost profits or lost commissions, even if we've been advised of the possibility of such damages.
Where liability can't be excluded under Philippine law, our total liability to you for any claim arising from these Terms or the Platform is limited to the amount you've paid us, if any, in the twelve (12) months before the claim arose.
12 Termination
You may stop using the Platform and close your account at any time. We may suspend or terminate your account if you violate these Terms, if we're required to by law, or if we discontinue the Platform, with notice where reasonably practical.
Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law — will continue to apply after your account is closed.
13 Governing law & disputes
These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms or your use of the Platform will first be addressed through good-faith negotiation between the parties; if that doesn't resolve it, the dispute will be subject to the exclusive jurisdiction of the proper courts of Metro Manila, Philippines.
14 Changes to these terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. If we make material changes, we'll notify registered users through the Platform or by email before the changes take effect. Continuing to use the Platform after changes take effect means you accept the updated Terms. The "Last updated" date at the top of this page always reflects the most recent version.
